Note: These Terms of Service govern your use of the Digital Elevation website only. They do not constitute or replace a client services agreement. If you are engaging Digital Elevation for professional services, those terms are governed by a separate written agreement.

1. Acceptance of Terms

By accessing or using the Digital Elevation website at digitalelevationusa.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site.

These Terms apply to all visitors, users, and others who access or use the Site. Springthrough Consulting, Inc. d/b/a Digital Elevation ("Digital Elevation," "we," "us," or "our") reserves the right to modify these Terms at any time. Continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.

The Site and its entire contents, including but not limited to text, graphics, logos, images, and software, are the property of Springthrough Consulting, Inc. d/b/a Digital Elevation or its content suppliers and are protected by United States and international intellectual property laws.

You may view, download, and print pages from the Site for your own personal, non-commercial use, provided you do not modify the content and you retain all copyright and proprietary notices.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site without our prior written consent.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPRINGTHROUGH CONSULTING, INC. D/B/A DIGITAL ELEVATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT.

In no event shall Digital Elevation's total liability to you for all claims arising out of or related to the Site exceed $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. If you are in such a jurisdiction, some of the above limitations may not apply to you.

8. Indemnification

You agree to defend, indemnify, and hold harmless Springthrough Consulting, Inc. d/b/a Digital Elevation and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the data practices described in our Privacy Policy.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without giving effect to any choice or conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the federal or state courts located in Kent County, Michigan, and you consent to personal jurisdiction in those courts.

11. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Digital Elevation regarding your use of the Site and supersede all prior and contemporaneous agreements, representations, and understandings.
